You are engaging the services of Superastro (ABN: 59941225960) to provide design, development and marketing services, as outlined in our previous correspondence and expanded in our future communications. You agree to provide us with everything that we need to complete the project as necessary, and when we need it, as mutually agreed.

This document is designed to ensure that we're both protected from any unexpected circumstances. While the terms are relatively standard it's important that you understand them and contact us if you have any questions.
Any work requested will be completed at our Standard Hourly Rates unless an estimate is specifically requested. Your ongoing communications with us after being provided this document constitute your continuing acceptance to the terms.
Estimates are valid for acceptance for 30 days unless otherwise stipulated. We prefer if you accept estimates via email. If you request services in absence of an Estimate or proposal you are agreeing to pay for our services in accordance with our Terms of Service and Standard Hourly Rate.
We strive to keep projects progressing efficiently to deliver the best results within a reasonable timeframe. Throughout the project, you'll have opportunities to review our work and provide feedback. Clear communication ensures the process runs smoothly and meets your expectations.
You'll review our work whenever necessary and provide feedback and approvals in a timely manner. We'll endeavor to meet any deadlines set but can't be responsible for a missed launch date or a deadline, particularly if you have been delayed in supplying necessary information or approvals on-time at any stage.
Our standard target for responding to revisions is within 3 to 4 days. Larger or more complex projects may result in extended revision times. For urgent requests, we will aim to return revisions within 24 hours when possible; for priority requests, we aim to provide revisions within 2 working days. While we will do our best to meet these timelines, we cannot guarantee specific delivery or turnaround times.

Once a request for work has been initiated you are bound to pay the estimated or quoted price (including the cost of any additional variations as requested or required). All prices are GST-exclusive unless stated otherwise. Superastro is GST-registered in Australia, and all amounts are in Australian dollars unless specified.
If you're not satisfied with the direction of the work and we cannot reach a mutually agreed resolution, we will invoice you for the hours incurred at our standard hourly rate for all work completed up to that point. For projects with a fixed price or cost estimate, a minimum charge of 35% of the total quoted project price will apply in the event of termination.
A project will be considered abandoned if there is no meaningful progress or communication from your side for 30 consecutive days without prior notice or agreement. This is because we allocate time, resources, and mental focus to managing your project, even during periods of inactivity.
In the case of an abandoned project:
Unless otherwise agreed, we are not responsible for creating or editing text copy, sourcing imagery, conducting detailed proofing, or managing typography licenses beyond the scope of your project. You are responsible for providing all necessary materials and ensuring all provided materials are free of copyright or usage restrictions.
We cannot be held liable for the usage of any material you provide to us, including cases where such material infringes on the rights or intellectual property of others.
We love using the latest fonts and typographic styling in our work. Unless otherwise stated, our hourly fees cover the license cost for these elements as needed for your project. However, most font licenses cover a "seat license", which means we cannot provide you with the font files. If you or another party intend to produce your own works using the same fonts, you may need to obtain your own license.
While we take great care to deliver high-quality work, we cannot be held accountable for any errors not detected or corrected during the review process. This includes typographical errors, misspellings, or inaccuracies. Even if you request us to approve work or proofs on your behalf, it remains your responsibility to review all materials thoroughly.
We do not provide spell-checking services. You are responsible for carefully reviewing all work to ensure accuracy before final approval.
It is your responsibility to securely store, safeguard, and back up any materials or files. We are not a file storage service and are under no obligation to retain copies of your files. Requests for the retrieval or provision of any files will incur additional fees.
Upon full and final payment:
You will own the specific visual and written elements that we create for this project. This includes final designs, written content, and other deliverables explicitly approved as part of the completed project. You retain ownership of any text, images, or data you provided to us, provided you have the necessary rights or permissions to use them.
We retain ownership of the unique combination of elements, methodologies, and concepts that constitute the project's overall structure, design, and consultation. This includes design processes, templates, workflows, and proprietary techniques used during the project.
You are granted an exclusive, perpetual, non-transferable license to use the final deliverables for the purpose outlined in this project. This license is limited to your use of the deliverables and does not extend to resale, redistribution, or use in derivative works outside the scope of this project unless explicitly agreed otherwise in writing.
You cannot sell, license, or transfer the entirety of the project (or significant parts of it) to a third party without our express written consent.
We reserve the right to showcase and link to completed work from this project as part of our portfolio, marketing materials, and case studies, unless explicitly agreed otherwise in writing.
Any concepts, drafts, or ideas created during the project that are not chosen as part of the final deliverables will remain our sole property.
We retain the right to include a credit line or attribution on completed work, such as websites or publications, unless agreed otherwise in writing.
Until full and final payment is received, we retain ownership of all deliverables and associated rights created during the project.

We will collect, retain and use information about you for the purpose of assessing your creditworthiness. We may disclose this information about you to anyone we deem necessary or desirable in order for us to attempt to enforce any of our rights, remedies and powers under this contract. You have the right to request any information we hold about you, and the right to correct any information we hold.
We can't guarantee that our work will be error-free and so cannot be held liable to you or any third-party for damages, including lost profits, lost savings or other incidental, consequential or special damages, even if you've advised us of them.
We cannot be held liable by you for unintentional intellectual property infringement of material we create. If we fail to strictly perform any of these Terms this does not constitute a waiver of any rights on subsequent occasions.
We have the right to change or add to the terms of this document at any time. Your use of our services after a change has taken effect constitutes your acceptance of the modified terms. You can request a copy of the current terms at any time by contacting us, or visiting our website.
If any provision of this contract shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this contract and shall not affect the validity and enforceability of any remaining provisions.
